Terms & Condition of Sale 1. GENERAL Normal Business Hours - Monday to Friday 9 am - 5 pm, except a Saturday, Sunday or public or bank holiday in Republic of Ireland These Specific Terms and Conditions apply to the VPS and Web Hosting services. Webangel reserves the right to change the terms, conditions, and notices under which Webangel Service is offered, including (but not limited to) the charges associated with the use of Webangel Service. You are responsible for regularly reviewing these terms and conditions. If you do exceed your specified bandwidth allocation you will be charged for such excess usage 0.25 per 1 GB(GigaByte) You are not allowed to abuse VPS resources (maximized usage of resources) or create any extra swap space in your VPS beisde that which is provided by Webangel as that will hamper overall system performance for all users and will lead to termination of your service. 2. MANAGEMENT & SUPPORT Webangel will ensure that the Customer can contact (by telephone or email) an Engineer at Normal Business Hours* for major faults affecting Hardware or Software components that is, faults which materially prejudice and interrupt the operation of Service and for general troubleshooting help. The management and support provided by Webangel will extend to: a. Supplying, managing and monitoring all Hardware Components. b. Supplying, maintaining and monitoring all software to be installed on the Server and Web statistics software (and the grant of a specified number of user licences to the Customer), unless otherwise agreed between Webangel and the Customer. c. Procuring that the Base Configuration is setup for the Customer. d. Maintaining, updating (as they become available) and supporting all software following the initial setup of the VPS/Web Hosting Service. e. Installing, subject to prior agreement between Webangel and the Customer, any Additional Application Software over and above the software. Management and Support does not include: a. Maintenance, support or guarantee of any Additional Application Software unless under further agreement with the Customer. Where an agreement between Webangel and the Customer exists in relation to Additional Application Software, any support will be provided on a \"best-effort\" basis at the discretion of Webangel and under the instruction of the Customer. For Additional Application Software, an installation and testing charge will be payable. b. Any matters outside the scope of the Service including without limitation responsibility for the Customer and User Configuration Parameters and System Settings, Web site Dynamic Content, Scripts, Executable Files, the addition of SQL accounts and the set-up of new Web sites. ACCEPTANCE OF ORDERS - All orders from Customer are subject to acceptance by Webangel, and Webangel reserves the right to accept or reject any orders in whole or in part. CANCELLATION - Cancellation of orders will be subject to a Cancellation Charge equal to the value of work performed on the cancelled order at the time of cancellation, plus 15%. Prices quoted do not include V.A.T. which will be charged at the rate ruling on the date of despatch. All special, sub-distributor and stockist prices are only valid for a period of one year and are subject to an annual revision unless otherwise agreed in writing and are for relevant quantities where applicable. In the event a Webangel service is listed at an incorrect price due to typographical error, Webangel has the right to refuse or cancel any orders placed for service listed at the incorrect price. Webangel has the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Webangel shall issue credit to your credit card account in the amount of the incorrect price. 3. SERVICE PERIOD Unless otherwise terminated or suspended in accordance with this Agreement, the service shall be provided for a Minimum Service Period of 1 month from the date of activation. On expiry of the periods referred to in Clause above, the Webangel will, unless terminated 15 days before the date of such expiry, automatically renew a service for a further period of one month. You must notify Webangel by emailing email@example.com whenever any of your contact details change. 4. LIMIT OF LIABILITY. WEBANGEL SHALL NOT BE LIABLE TO BUYER FOR ANY COST, EXPENSE, LOST PROFIT, LOST BUSINESS, OR ANY OTHER FORM OF INDIRECT, SPECIAL INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OF ANY KIND, EVEN IF WEBANGEL HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. IN NO EVENT SHALL WEBANGEL’S LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY BUYER TO WEBANGEL FOR THE GOODS AND SEVICES IDENTIFIED IN THIS AGREEMENT. NO AGENT OR OTHER REPRESENTATIVE OF WEBANGEL IS AUTHORIZED TO ASSUME ANY OTHER LIABILITY. 5. CONDITIONS OF USE You agree to: a. provide an authorised technical contact, authorised contact number and password, to keep any records of such details and any other confidential information provided by us in a safe place and to take all necessary steps to ensure the security of such records; b. without prejudice to the General Terms and Conditions, keep such information private and confidential and ensure, at all times, that it (or they) does (do) not become known to any unauthorised personnel. You agree that you will notify Webangel immediately if you become aware of any change in circumstances which may lead you to believe that such information has become known to any unauthorised personnel. You agree that Webangel may, from time to time, suspend and/or change your password (at our discretion if we feel that such a step is in the interests of security). You are responsible for any misuse of the Service. Therefore, you must take steps to ensure that others do not gain access to your account. You agree not to break or attempt to break security on any of Webangel network or affiliated networks, or to access an account that does not belong to you. You may not use scripts or programs that interfere with or deny services to other users on any other server, host, network or channel. You are entirely responsible for the content of your Web pages and associated databases. The Webangel VPS and/or Web Hosting Service must not be used: a. fraudulently or in connection with any criminal offence including, but not limited to, theft, fraud, piracy, drug-trafficking, money laundering and terrorism; b. to facilitate or incite violence, sadism, cruelty, racial hatred, prostitution or paedophilia; c. to send, knowingly receive, upload, download, or use any material which is offensive, abusive, indecent, defamatory, obscene, menacing or pornographic, or in breach of copyright, confidence, privacy or any other rights; d. to provide any links, banners or any information regarding how to obtain access to any material. 6. SERVICE AVAILABILITY Webangel shall use reasonable endeavour to make available to you at all times the Server and the Services but Webangel shall not, in any event, be liable for interruptions of Service or downtime of the Server. Webangel shall have the right to suspend the Services at any time and for any reason, generally without notice, but you will be notified immediately of the reason to provided email address. The Services provided to you and your account with Webangel cannot be transferred or used by anyone other than you. You may use no more than one login session under any one account at any time. If you have multiple accounts, you are limited to one login session per system account at any time; user programs may be run only during login sessions. If your account is found to have been transferred to another party, or shows other activity in breach of this sub-clause, Webangel shall have the right to cancel the account and terminate the Services and/or this Agreement immediately.
